Licence Terms

  1. Overview

These Licence Terms apply to digital products purchased or lawfully obtained from PrimeDownloads.

When you purchase a product, you acquire a licence to use the files. You do not acquire ownership of the copyright, design rights, trademarks or other intellectual property in the product.

The licence begins when the order is accepted and remains subject to these terms.

  1. Licence holder

The licence is granted to the individual or organisation named or identifiable from the order.

It is

  • limited;
  • non-exclusive;
  • non-transferable;
  • non-sublicensable except where these terms expressly allow;
  • subject to payment and compliance with these terms.
  1. Permitted personal use

Where a product is suitable for personal use, an individual customer may:

  • download the files;
  • save reasonable backup copies;
  • edit and customise the files for their own personal purposes;
  • print reasonable copies for their own household use;
  • use completed outputs for the personal purpose described on the product page.
  1. Permitted internal business use

A business customer may, for one purchasing organisation:

  • download the files;
  • create reasonable secure backup copies;
  • add its own business information and branding;
  • edit the templates for internal operational use;
  • use completed documents in the ordinary running of that business;
  • allow employees and regular internal team members to use the files solely for that organisation;
  • share completed customer-facing outputs where that is the intended purpose of the template.

Examples of permitted internal use may include

  • completing an invoice template and sending the completed invoice to a customer;
  • completing a quotation template and sending the completed quotation;
  • using an internal tracker across the purchasing business;
  • adapting a checklist for the business’s own operations;
  • printing completed planner pages for internal use.
  1. Contractors and advisers

You may provide a product file to a contractor or professional adviser only where

  • access is necessary to perform work for the licence holder;
  • the file is used solely for that work;
  • the contractor does not retain, reuse, resell or redistribute it;
  • the licence holder remains responsible for compliance.

This does not allow a contractor to reuse the product for other clients.

  1. Client-service use

Unless a product page expressly grants a client-use or commercial-template licence, you must not:

  • use the editable source files as a deliverable for multiple clients;
  • sell completed or editable versions as part of a template service;
  • provide the same source template repeatedly to customers;
  • use the product to operate a document-resale, template-resale or download business.

A completed ordinary-business document may be shared with the intended recipient where that is the normal purpose of the product.

  1. Prohibited sharing

You must not

  • share the original or editable files with another business;
  • share account or PrimeVault access;
  • upload files to a publicly accessible location;
  • place files in a shared template library for unrelated users;
  • email or transfer files to people outside the licence holder’s organisation except as expressly permitted;
  • distribute files through membership sites, courses or communities;
  • make files available through peer-to-peer or file-sharing services.
  1. Prohibited resale and redistribution

You must not

  • resell any original file;
  • redistribute any original file;
  • give the product away as a free download;
  • bundle it into another digital product;
  • list it on a marketplace;
  • sell an edited version as a template;
  • convert it to another file format for resale;
  • use it to create a substantially similar competing digital product;
  • claim authorship or ownership of the underlying product.

Changing colours, fonts, wording, branding, formatting or file type does not create a right to resell or redistribute the product.

  1. Software-as-a-service, applications and automated systems

You must not incorporate a PrimeDownloads file, structure, template or substantial content into:

  • a software product;
  • an app;
  • a template generator;
  • a subscription library;
  • an automated document service;
  • a website builder;
  • a downloadable-product platform;

unless PrimeDownloads grants separate written permission.

  1. Intellectual property notices

You must not remove or alter licence, copyright or attribution information for the purpose of concealing the source or facilitating unauthorised redistribution.

You may remove visible PrimeDownloads branding from customer-editable working templates where the product is designed for customer branding, provided you continue to comply with these Licence Terms.

  1. Backup copies

You may keep reasonable secure backups for your own permitted use.

Backup rights do not permit distribution to other people or organisations.

  1. Product-specific terms

A product page or included licence file may state additional permissions or restrictions.

Where product-specific terms conflict with these general terms, the more specific terms apply to that product.

  1. Lifetime Updates

Lifetime Updates, where offered, apply only to the original eligible licence holder.

Update access may not be sold, transferred or shared.

  1. No transfer

You may not transfer the licence to another person or organisation without written permission from PrimeDownloads.

A genuine internal reorganisation or business-name change may be considered on request, subject to verification.

  1. Breach

Where we reasonably believe the licence has been materially breached, we may:

  • ask you to stop the unauthorised use;
  • suspend download or account access while investigating;
  • terminate the licence for serious or repeated breach;
  • pursue available legal remedies.

We will not use this clause to remove valid access arbitrarily.

Termination does not affect accrued rights or liabilities.

  1. No professional advice

Permission to use a template does not mean PrimeDownloads has approved the completed document or its suitability for your circumstances.

You are responsible for checking and adapting the product and obtaining professional advice where needed.
