These Terms and Conditions govern your use of the PrimeDownloads website and your purchase and use of digital products from us.
Please read them before placing an order. By using this website, creating an account or buying a product, you agree to these terms. If you do not agree, you should not use the website or purchase a product.
Nothing in these terms affects any rights you have under applicable consumer law.

In these terms, “PrimeDownloads”, “we”, “us” and “our” refer to the business identified above.
- Our products
PrimeDownloads sells digital products such as templates, spreadsheets, documents, planners, guides, checklists, toolkits and bundled downloadable resources.
Unless a product page expressly states otherwise
- products are supplied digitally;
- no physical item will be posted;
- purchases provide a licence to use the files rather than ownership of the underlying intellectual property;
- compatibility depends on the software and file formats stated on the relevant product page; and
- product results depend on how the customer uses and adapts the files.
The product page forms part of the contract between you and PrimeDownloads.
- Eligibility to purchase
You must be at least 18 years old and legally capable of entering into a contract to place an order.
By placing an order, you confirm that:
- the information you provide is accurate;
- you are authorised to use the selected payment method;
- you are purchasing for lawful purposes; and
- you will comply with the applicable Licence Terms.
- Product information
We take reasonable care to describe products accurately and to show the principal contents, formats, compatibility and limitations.
Preview images are intended to demonstrate the genuine nature and layout of a product. Minor visual differences may occur because of software versions, operating systems, fonts, display settings, printing settings or permitted product updates.
You are responsible for checking the product description and compatibility information before purchase.
Please contact us before ordering where you are uncertain whether a product is suitable for your software or intended use.
- Prices and payment
Prices are shown in pounds sterling unless stated otherwise.
The price displayed at checkout is the price payable for the order, including any applicable taxes that PrimeDownloads is required to collect.
Payment must be authorised before download access is provided.
Payments are processed by the payment provider identified during checkout. PrimeDownloads does not directly store complete payment-card details.
We may change product prices at any time. A later price change does not alter the price of an order that has already been completed.
- Order acceptance
Submitting an order is an offer to purchase the selected digital product.
An order is accepted when
- payment has been successfully authorised; and
- we issue an order confirmation or make the purchased files available.
We may decline or cancel an order before acceptance where
- payment has not been authorised;
- pricing or product information contains an obvious error;
- fraud or misuse is reasonably suspected;
- the order breaches these terms; or
- we are unable lawfully to supply the product.
Where payment has already been taken for an order we cancel, we will refund the relevant amount.
- Digital delivery
Purchased products are normally made available after successful payment through one or more of
- the order confirmation page;
- the order-confirmation email;
- the customer account;
- PrimeVault; or
- another secure order-linked download method.
You are responsible for
- supplying a valid email address;
- checking spam or junk folders;
- keeping account credentials secure;
- downloading files within any stated access limits; and
- maintaining your own backup copy after download.

- Immediate supply and cancellation rights
PrimeDownloads supplies digital content that is not provided on a tangible medium.
Where immediate access is requested, checkout must ask you to:
- expressly consent to supply beginning before the end of the usual cancellation period; and
- acknowledge that your right to cancel is lost once supply of the digital content begins.
Your statutory rights remain unaffected where digital content is faulty, not as described or otherwise fails to conform to applicable law.

- Customer accounts and PrimeVault
Some purchases or features may require a customer account.
You must
- provide accurate account information;
- keep login credentials confidential;
- not share account access with another person;
- notify us promptly of suspected unauthorised access; and
- use PrimeVault only for your own eligible purchases.
We may temporarily restrict an account where reasonably necessary to investigate security, payment, licence or misuse concerns.
We will not remove lawful access to a valid purchase arbitrarily.
- Licence to use purchased products
Every purchase is subject to the Licence Terms published on this website and any product-specific licence displayed before purchase or included within the files.
Unless expressly stated otherwise, a purchase provides a limited, non-exclusive, non-transferable licence for the purchaser’s permitted personal or internal business use.
You must not
- resell the original files;
- redistribute the files;
- share them with other businesses or unrelated users;
- upload them to template libraries, marketplaces or shared drives for third-party use;
- claim the files or designs as your own intellectual property;
- use them to create a directly competing template or download product; or
- remove copyright or licence information for the purpose of concealing their source.

- Product customisation
Many products are designed to be edited and customised.
You are responsible for reviewing and adapting templates before using them.
PrimeDownloads does not guarantee that a generic template will satisfy every commercial, legal, regulatory, accounting, tax, employment, property, health and safety or professional requirement applicable to you.
Where a product contains example policies, agreements, notices or compliance-related materials, they are starting-point resources and must be reviewed for your circumstances and jurisdiction.
- Professional advice
PrimeDownloads products provide practical organisational and administrative resources.
They are not a substitute for legal, tax, accounting, financial, medical, employment, health and safety or other regulated professional advice.
You remain responsible for decisions made using the products.
- Product updates
Some products are eligible for Lifetime Updates.
Eligibility is shown on the relevant product page.
Lifetime Updates do not include
- unlimited bespoke work;
- customisation for an individual customer;
- unrelated future products;
- guaranteed updates on a fixed timetable;
- continued support after a product or service is permanently discontinued in accordance with the Lifetime Updates Policy.
- Support
Reasonable product and download support is available through
info@primedownloads.co.uk
Support includes help with matters such as
- locating a completed order;
- accessing a download;
- identifying included files;
- reporting a corrupted or missing file; and
- clarifying published compatibility information.
Support does not include free bespoke consultancy, document completion, business advice or custom product creation unless separately agreed.
- Refunds and remedies
Refund requests are governed by our Refund and Digital Content Policy.
Nothing in these terms excludes remedies available under applicable consumer law where digital content is not of satisfactory quality, not fit for a particular purpose made known to us, or not as described.
We may first offer an appropriate repair, replacement file, restored access, price reduction or refund depending on the circumstances and applicable law.
- Promotions and discount codes
Promotional offers may be subject to specific conditions.
Unless expressly stated
- discount codes cannot be exchanged for cash;
- only one code may be used per order;
- codes may have expiry dates or product restrictions;
- discounts do not apply retrospectively; and
- we may withdraw a promotion before an order is completed.
We will not use false reference prices or misleading urgency.
- Intellectual property
The website, branding, product files, text, graphics, previews, designs and other original materials are owned by or licensed to PrimeDownloads and are protected by intellectual-property law.
A purchase does not transfer copyright or other intellectual-property ownership to the customer.
- Acceptable use of the website
You must not
- use the website unlawfully;
- interfere with its security or operation;
- attempt unauthorised access;
- scrape, copy or systematically extract protected content;
- introduce malicious code;
- abuse checkout, account, download or support systems;
- make fraudulent payment claims or chargebacks; or
- use purchased materials in a way prohibited by the Licence Terms.
- Availability and changes
We aim to keep the website and purchased downloads available, but uninterrupted access cannot be guaranteed.
We may carry out maintenance, security work, updates or improvements.
We may change or discontinue a product prospectively. Existing customer access and update eligibility will be handled in accordance with the applicable product terms and Lifetime Updates Policy.
- Third-party software and services
Products may require third-party software such as Microsoft Excel, Microsoft Word, compatible office software or PDF-reading software.
Third-party providers control their own products, systems and terms.
PrimeDownloads is not responsible for changes made by a third-party software provider, although we may update eligible products where reasonably practical.
- Limitation of liability
Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any statutory right that cannot lawfully be excluded.
Subject to that
- we are responsible only for losses that are a foreseeable result of our breach of these terms;
- we are not responsible for losses caused by inaccurate customer information, unsupported software, unauthorised file modification or failure to keep suitable backups;
- we do not guarantee any particular commercial, financial, career, academic or personal outcome; and
- where a customer purchases wholly or mainly for business purposes, we are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of opportunity, loss of goodwill or loss of data, except where liability cannot lawfully be excluded.
For business customers, our total aggregate liability arising from a product purchase will not normally exceed the amount paid for the product giving rise to the claim, except where such a limitation would be unlawful.
- Consumer and business customers
Nothing in these terms removes rights that apply to consumers by law.
Where you purchase wholly or mainly for business purposes, you confirm that you are acting in the course of business and that the business-specific provisions in these terms apply.
- Events beyond reasonable control
We are not responsible for delay or failure caused by circumstances beyond our reasonable control, including major hosting failures, widespread internet disruption, payment-network interruption, cyber incidents, natural disasters or government action.
We will take reasonable steps to reduce disruption and restore affected services.
- Changes to these terms
We may update these terms to reflect changes to
- the business;
- products;
- customer services;
- payment or delivery systems;
- legal or regulatory requirements; or
- security practices.
The version published when you place an order will ordinarily govern that order, together with any lawful later change that improves customer rights or security.
- Governing law
These terms are governed by the laws of England and Wales.
If you are a consumer living elsewhere in the United Kingdom, you may also benefit from mandatory protections and court rights applicable where you live.
Business customers agree that the courts of England and Wales will have exclusive jurisdiction, except where the law requires otherwise.
